Cade has validated the full transfer of control of Transnorte Energia to Axia Energia Norte, consolidating operations in the electricity transmission sector.
The corporate structure of the Brazilian power transmission sector is undergoing a significant shift. The General Superintendence of the Administrative Council for Economic Defense (Cade) has given the green light, without any restrictions, for Axia Energia Norte S.A. to assume full control of Transnorte Energia S.A. (TNE). The decision was formalized through its publication in the Official Gazette (Diário Oficial da União) this Thursday (3).
Currently, Axia Energia Norte already holds a majority stake of 64.61% in the company. With the completion of this corporate move, it will own 100% of the shares, acquiring the remaining 35.39% previously held by Alupar Investimento S.A. The transaction reflects a strategy to consolidate the management of assets dedicated to public electricity transmission services.
Next steps and sector regulation
Although the opinion from the antitrust authority’s superintendence represents a fundamental step, the decision is still subject to an appeal period. Should there be challenges from third parties or if a commissioner decides to call up the process, the case may be taken to the administrative tribunal for a new assessment.
It is worth noting that the move had already received regulatory approval from the National Electric Energy Agency (Aneel) in August. With the regulators’ green light, the companies now have a 120-day period, starting from the initial dispatch on August 10, to finalize the transaction and implement all necessary corporate changes. The expectation is that the conclusion of this phase will bring greater operational agility to the energy transmission assets under Axia Energia‘s management.
