Petrobras will receive $859 million from its partners in a financial settlement regarding the Berbigão and Sururu fields in the Santos Basin, following a redetermination of working interests.

Petrobras formalized a strategic financial agreement this week with energy companies Shell, TotalEnergies, and Petrogal. The amount of approximately $859 million will be paid to the Brazilian state-run oil company by November 2026, marking the conclusion of an expenditure and oil volume equalization process for the Berbigão and Sururu fields.

This settlement is a direct outcome of the approval of the Production Unitization Agreements (AIPs) by the National Agency of Petroleum, Natural Gas and Biofuels (ANP). The measure adjusts each company’s stake in reservoirs that cross concession areas and transfer-of-rights blocks, ensuring an equitable distribution of revenues and operating expenses.

New pre-salt configuration

With the new definition, Petrobras consolidated a major stake of 62.913% in the Berbigão field. In Sururu, the state-owned company now holds 45.394%. This reconfiguration of ownership interests is essential to optimize the consortium’s cash flow, aligning investment costs and the results achieved since the contracts began.

Unitization agreements act as a long-term reconciliation mechanism, weighing everything from investments made to royalties paid, ensuring that each partner bears a proportional share of what was produced and invested in the shared areas.

Background and financial impacts

The financial adjustment covers an extensive period, retroactively spanning from September 2000 — when the BM-S-11 concession contract was signed — through April 2026. The ANP played a central role in regulating this process, ensuring that the division of oil volumes respected the complex geology of the reservoirs extending beyond the original contractual boundaries.

For Petrobras, the influx of these funds through the end of 2026 provides a significant boost to its financial health. The conclusion of these negotiations mitigates operational uncertainties and consolidates a more transparent governance model for exploring these strategic reserves in the Brazilian pre-salt, serving as a benchmark for future production unitization rounds in the energy sector.
