Eneva has secured BRL 1.77 billion in a strategic transaction with Itaú Unibanco, providing financial breathing room for energy projects without relinquishing the company’s controlling stake.

Eneva, a major power generation company, finalized a significant capitalization move on October 15. The company raised BRL 1.777 billion through its subsidiary, Eneva Participações III, in a structured transaction with Itaú Unibanco that fully preserves the generator’s corporate governance.

By opting to issue preferred shares with restricted voting rights, the company obtained the necessary financial backing for its expansion plans while maintaining total control over common shares. The model, which received unrestricted approval from Cade, reinforces the company’s financial strength to support its long-term strategy in the Brazilian market.

Buyback and governance structure

The contract defines a clear window of opportunity for the company’s future. Eneva holds a call option, allowing it to repurchase all of the preferred shares currently held by the bank. This right may be exercised between early 2031 and late 2032, consolidating a medium- to long-term strategy.

In addition, the shareholders’ agreement underwent meticulous adjustments to align exit rights and investment liquidity. According to an official statement regarding the transaction:

The arrangement ensures the maintenance of the generator’s corporate and operational control, guaranteeing that the execution of the business plan remains focused on infrastructure expansion and the supply of firm capacity to the SIN.

Impact on the energy sector

With final authorization from the Administrative Council for Economic Defense, Eneva consolidates its positioning focused on the integrated gas-to-wire model. This financial injection arrives at a time when the stability of the National Interconnected System (SIN) requires constant investment in base-load generation assets.

The transaction is a tactical move that avoids the dilution of current controlling shareholders while the company expands its production capacity. For the energy market, the success of this capital raising indicates that financial institutions remain confident in the company’s operational capacity and the viability of its infrastructure projects, paving the way for future investments in the coming years.
