Siemens Energy Brazil, which will globally operate under the name Omterra, and two partners from Data Engenharia are studying the formation of a joint venture focused on the manufacturing and commercialization of transformers and related solutions.
The transaction was submitted to the Administrative Council for Economic Defense (Cade) and is not subject to approval by other regulatory bodies in Brazil or abroad.
In a statement to Cade, Siemens Energy reported that the partnership can help expand its transformer manufacturing capacity more efficiently and reduce delivery times. The structure is also expected to enable service to export markets, primarily the United States.
For Luciana Ghader Corgosinho and Gustavo Ghader Corgosinho, partners at Data and interested parties in the operation, the partnership represents an opportunity to expand the company’s business into other markets and technologies.
The companies argued to Cade that their market shares in power transformers are moderate. According to the firms, even after the transaction, the joint venture’s market share will remain below the 20% threshold, the percentage at which horizontal overlaps might raise potential antitrust concerns.
The companies also highlighted that, following the implementation of the transaction, WEG will remain the largest player in the power transformer market.
30 Years in the Market
Data Engenharia is a Brazilian company founded in 1995 and headquartered in Sarzedo, Minas Gerais. The company is jointly controlled by Luciana Ghader Corgosinho and Gustavo Ghader Corgosinho and operates in the maintenance and repair of electric motors, generators, and large-scale transformers.
The equipment serves various sectors, such as steelmaking, mining, energy, oil and gas, sugar and ethanol, pulp and paper, cement, wind energy, industry, and sanitation.
In addition to maintenance services, the company manufactures and sells motors, generators, and transformers, including power transformers. Data also resells WEG equipment.
Other companies within the group operate in services related to turbines, motors, and generators, as well as the manufacturing of coils for magnetic separators used in mining.
