New Fortress Energy has finalized a significant financial restructuring that resulted in the total transfer of its Brazilian assets to a group of creditors, marking a new phase for the country’s energy sector.

New Fortress Energy (NFE) officially announced this Friday (September 11) the completion of the process to spin off its operations in Brazil. This strategic maneuver transforms the local assets into an independent company, now entirely controlled by the creditors who participated in the firm’s financial rehabilitation plan.

The move reflects a profound change in the organization’s capital structure, accelerating goals that were initially projected to be reached only in 2026. With the agreement effective, approximately $5.7 billion in financial obligations have been extinguished, leaving NFE‘s corporate debt at a much more manageable level, close to $700 million.

Impact on operational and corporate structure

The restructuring did not affect only the Brazilian arm; the company reorganized its global operations under a new structure dubbed “New NFE.” In this arrangement, creditors absorbed a 65% stake in the new entity’s common shares, in addition to preferred warrants and significant loans.

To strengthen its cash position, the company also secured an additional injection of $136.5 million in new capital. The process had broad legal backing, with the approval of courts in the United Kingdom and the United States, ensuring the transaction’s legitimacy for the international market.

The new Brazilian company, affectionately nicknamed BrazilCo by those involved, is born with the strategic mission of ensuring the continuity of natural gas supply and the logistical optimization of existing units.

The future of BrazilCo and its strategic assets

With the spin-off, the newly formed BrazilCo assumes command of critical infrastructure for the national energy grid. The portfolio now under creditor control includes the strategic Barcarena Cluster, located in Pará, which encompasses the gas terminal and major thermoelectric projects, such as Celba 2 and the Portocém power plant.

In addition to the complex in Pará, the Sul Gas Terminal, located in Santa Catarina, is part of the set of transferred assets. The expectation is that this new independent management will focus on supply stability and technical support for the vessels operating at these units, consolidating the infrastructure left by NFE as a pillar of energy security in the regions where it operates.
