Eneva Signs Agreement in Venezuela, Eyes New ANP Bids

Brazilian energy company Eneva is expanding its international reach with a focus on Venezuela, while preparing to compete for new exploration blocks in Brazil.

Brazilian energy company Eneva has taken a significant step in its geographic diversification strategy by signing a cooperation agreement with American giant Halliburton.

The Memorandum of Understanding (MoU) aims to jointly explore and develop opportunities in Venezuela’s promising oil and gas sector.

This international move comes at a crucial time for the company, which is also preparing for significant participation in the 6th Permanent Offering Cycle, promoted by the National Agency of Petroleum, Natural Gas and Biofuels (ANP), and has concluded a substantial financial restructuring.

New Energy Frontier

The collaboration with Halliburton represents an expansion of the existing partnership between the companies in Brazil, strengthening the pursuit of energy development projects in Venezuela.

While speculation about a joint venture with another entity has arisen previously, Eneva‘s current leadership, under Lino Cançado, has focused on evaluating natural gas exploration and production assets and thermoelectric power generation in the South American country.

Halliburton, with nearly a century of expertise in Venezuela, will bring its robust operational infrastructure, local knowledge, and advanced technologies to support this strategic evaluation. In parallel, Halliburton has also signed an MoU with Wesca, demonstrating a concentrated effort to boost field development and plan new operations in Venezuelan territory.

These agreements highlight Halliburton’s efforts to help customers unlock value from their assets through technology, collaboration, and execution excellence.

He emphasized the synergy and potential results of this union.

Focus on the Brazilian Market

While expanding its horizons, Eneva maintains a keen eye on its domestic market. The company received approval from its board of directors to actively participate in the 6th Permanent Offering Cycle of the ANP, scheduled for October 7th. The approval covers the execution of all necessary actions for participation, including the execution of contracts and transactions related to the bidding process.

This strategic decision coincides with the conclusion of the first phase of a successful liability management operation. The transaction involved the sale of debentures worth R$2.4 billion to financial institutions, followed by a general meeting of debenture holders that defined new conditions for the securities.

With an extended maturity to 2036 and remuneration tied to the IPCA plus 8% per year, the restructuring allowed for the redemption and cancellation of previous debts totaling R$1.4 billion.

The remaining funds will be allocated to the prepayment of other financial obligations, reinforcing the debt optimization strategy.

Eneva projects that this operation will increase the average term of its debts from two to nine years, while simultaneously reducing the cost of capital.

Additionally, the initiative further aligns the company’s debt profile with the main indexer of its revenues, increasing the share of Eneva‘s consolidated debt linked to the IPCA from 86% to 92%.

This financial maneuver and international expansion position Eneva robustly for future challenges and opportunities in the energy sector.
