Auren Energia has launched its third share buyback program, planning to acquire up to 1.95 million common shares to bolster its long-term incentive plans.
Energy transition and talent development go hand-in-hand in the clean energy market. Auren Energia has kicked off its new share repurchase program, targeting the acquisition of up to 1.95 million common shares traded on the B3 stock exchange.
The initiative aims to fulfill the guidelines of the company’s Restricted Stock Grant Plan and Long-Term Incentive Policy. The focus is to secure and retain strategic talent, including executives and key employees essential to the company’s growth in the sustainability and renewable energy sectors.
Approved by the Board of Directors, the financial operation is set to run until the end of 2026. Acquisitions will be made directly at market prices, utilizing the company’s available capital reserve, with operational support from Itaú Corretora de Valores.
Operation scale and market impact
The maximum volume stipulated represents approximately 0.19% of the total shares issued by Auren Energia and roughly 0.61% of the company’s free float. Before the start of the new operation, the company had over 317 million shares in circulation and about 5.7 million held in treasury.
The exact execution of the program will be managed by the Treasury Department, which will have the autonomy to determine the pace and volume of the batches. Purchases may be fractional or concentrated, always respecting market opportunities and fluctuations on the stock exchange.
The acquired shares may be held in treasury for an indefinite period, sold, or eventually cancelled, without entitlement to dividends while held in this condition.
Asset destination and regulatory transparency
Following the completion of the acquisitions, the repurchased assets may follow different strategic paths, such as distribution to incentive program beneficiaries or cancellation. While held in treasury, these shares do not count toward meeting quorum requirements for shareholders’ meetings and do not carry financial or voting rights.
All documentation regarding the operation, including the annexes required by the CVM (Securities and Exchange Commission of Brazil), is now publicly available. Investors in the power generation sector can track details through the company’s Investor Relations portal.
The move reflects Auren Energia‘s maturity in capital management, aligning corporate governance and staff retention in an increasingly competitive market focused on Brazil’s energy transition.
