The Opportunity investment fund has submitted a proposal to Cade to take full control of Belém Bioenergia Brasil, signaling the exit of the Portuguese company Galp from the business.
The Brazilian clean energy and sustainability market is undergoing a significant structural shift. Investment manager Opportunity has filed an operation with the Administrative Council for Economic Defense (Cade) to fully acquire Galp Bioenergy’s stake in Belém Bioenergia Brasil.
With the regulatory process underway, the investment firm is preparing to consolidate absolute control over the vegetable oil manufacturer. Currently, the manager already shares administration of the company, but the new ownership structure aims to simplify corporate governance and provide greater agility to its biofuel operations.
Corporate strategy and focus on sustainability
For the European oil company Galp, the move represents a divestment aligned with its global financial discipline guidelines. The company has been focusing its efforts on core business areas, viewing the Brazilian asset as outside its primary energy priorities for the coming years.
From the buyer’s perspective, the transaction is strictly financial. The goal is to solidify positions in a growing market, providing essential raw materials for the cosmetics, food, and sustainable energy industries.
The operation reflects a pursuit of greater operational efficiency, allowing shareholders to concentrate efforts on high-return and strategically relevant fronts.
Origin and evolution of the joint venture
The history of Belém Bioenergia Brasil dates back to 2011, when it was created as an equal partnership between Galp and PBIO, a subsidiary of Petrobras. Years later, in 2019, the Brazilian state-owned company transferred its stake to the Portuguese giant as part of a portfolio restructuring.
The expectation for the near future is that the antitrust review will proceed without major hurdles, paving the way for the Brazilian fund to fully take the reins of palm oil and derivatives production, thereby strengthening the country’s green supply chain.
