Axia Energia has reduced its share in ISA Energia Brasil following a new asset divestment, maintaining its focus on strategic adjustments in the clean energy and transmission sector.

Portfolio restructuring in the Brazilian electric power sector has entered a new chapter with the recent move by Axia Energia, formerly known as Eletrobras.

The company has decreased its presence in the share capital of ISA Energia Brasil, one of the country’s leading electricity transmission companies, reflecting a continuous trend of divesting minority stakes.

Following recent transactions involving the sale of shares on the market, the stake held by Axia now represents 17.14% of the transmission company’s total capital.

The current share arrangement is largely composed of preferred shares, while ordinary voting shares represent a smaller portion of the composition.

Investment strategy and portfolio focus

Despite the reduction in its stake, the management of Axia Energia made a point of signaling to the market that the move is strictly financial in nature.

The company reinforced that there is no intention to interfere in the corporate governance or administrative structure of ISA Energia Brasil.

The groundwork for this asset demobilization began back in 2024, when the company carried out an initial public offering of the transmission company’s shares.

At the time, the operation moved billions of reals and marked a new phase in the asset management of the former state-owned enterprise.

The strategy of divesting minority stakes requires rigorous release of guarantees and alignment with creditors, unlocking value for shareholders over the years.

Negotiation history and next steps

The path leading to Axia Energia‘s current reduction in ISA Energia Brasil was complex and involved prolonged negotiations with creditors, as a significant portion of the shares had previously been pledged as collateral for compulsory loans.

With these legal and financial hurdles overcome, the company successfully unblocked the process of optimizing its assets.

Among the transactions that shaped this new configuration are agreements to swap stakes in transmission ventures, involving assets such as IE Madeira and IE Garanhuns.

Axia Energia‘s next steps are expected to continue prioritizing financial efficiency and concentrating efforts on its core areas of operation in the national energy market.
