The global transaction in the industrial technology sector has taken a definitive step towards consolidation. The Administrative Council for Economic Defense (Cade) has endorsed, without any restrictions, the purchase of the British manufacturer Rotork by the Swiss multinational ABB.

The billion-dollar financial operation is shaking up the international market for energy transition and engineering. With an estimated value of 4.13 billion British pounds — equivalent to approximately 30.6 billion reais — the deal strengthens the brands’ presence in segments crucial for modern infrastructure.

This strategic investment reflects the continuous effort of industrial giants to diversify their portfolios. For markets focused on sustainable development and operational efficiency, the union promises to revolutionize the supply of advanced technologies.

Financial Structure and Next Steps in the Transition

The acquisition process is being conducted through the subsidiary ABB Automation Holding UK Limited. As stipulated in the financial agreements, shareholders of the British company will receive 5.03 pounds for each share held, a sum paid in full in cash.

To facilitate the deal, ABB‘s leadership has structured a hybrid financing model. The amount will be covered by a combination of the corporation’s own cash and the use of pre-approved credit lines with partner financial institutions.

Industry experts point out that the synergy between the companies will optimize the supply of renewable energy and control systems.

Market Analysis and the Brazilian Scenario

Headquartered in Bath, United Kingdom, Rotork employs over 3,500 people and serves hundreds of global markets with a focus on flow control and wastewater treatment. In turn, ABB operates on a massive scale, with approximately 110,000 employees worldwide, including a strong presence in Brazil.

During its competitive review in Brazil, the Brazilian antitrust body identified specific overlaps in certain sectors. Market coincidences were noted in the segments of industrial actuators, converters, and instruments dedicated to valves.

Despite the observed concentration, regulatory calculations indicate that the companies’ combined share in the electric actuator market remains between 10% and 20%. In other evaluated niches, the unified participation does not even reach double digits, averting monopoly risks and ensuring the green light for the deal’s completion.
